Terms of Service

These Terms of Service ("Terms") govern your use of Just Nudge ("the App"), a Shopify application for automated WhatsApp messaging, provided by Keybird Software ("we", "us", "our").

By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. The Service

Just Nudge is a Shopify application that enables automated WhatsApp messaging, including abandoned cart recovery, order confirmations, shipping updates, and auto-responses.

2. Account Requirements

  • You must have an active Shopify store.
  • You must have a WhatsApp Business account connected via the Meta Business Platform.
  • You are responsible for maintaining the security of your account credentials.

3. Acceptable Use

You agree to:

  • Comply with WhatsApp Business Policy and Meta's commerce policies at all times.
  • Obtain proper marketing consent before sending marketing messages to customers.
  • Not send spam, misleading, deceptive, or illegal content through the App.
  • Not exceed WhatsApp messaging rate limits.
  • Not use the App for any purpose that violates applicable laws or regulations.

4. Our Responsibilities

We agree to:

  • Provide the service as described in our documentation.
  • Maintain reasonable uptime and system security.
  • Process your data in accordance with our Privacy Policy.
  • Provide reasonable support for issues related to the App.

5. Billing & Payments

  • Billing is handled through Shopify's billing system. You authorize Shopify to charge your payment method on our behalf.
  • Subscription terms and pricing are as listed on the Shopify App Store.
  • WhatsApp conversation costs are passed through at the rates set by Meta.

6. Limitation of Liability

  • The App is provided "as is" and "as available" without warranties of any kind.
  • We are not liable for WhatsApp or Meta platform changes, outages, or policy changes that may affect the service.
  • We are not liable for message delivery failures caused by factors beyond our reasonable control (carrier issues, invalid phone numbers, WhatsApp restrictions).
  • Our maximum aggregate liability is limited to the total fees paid by you in the 12 months preceding the claim.

7. Termination

  • You may uninstall the App at any time through your Shopify admin.
  • We may suspend or terminate accounts that violate these Terms, with notice where possible.
  • Upon uninstall or termination, your data will be deleted within 30 days in accordance with our Privacy Policy.

8. Intellectual Property

We own all rights to the App, including its code, design, and branding. You retain all rights to your store data and content. You grant us a limited license to use your data solely for providing the service.

9. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation before pursuing formal resolution.
